Terms of Service

Effective Date: May 28, 2025

Last Updated: May 28, 2025

These Terms of Service ("Terms") govern your access to and use of the Parse website (parse.gl and its subdomains), SaaS platform, and related services (collectively, the "Services") provided by Parse ("Parse," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. ELIGIBILITY

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. ACCOUNT REGISTRATION

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password secure and confidential.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information, or that we reasonably believe have been compromised.

3. USE OF THE SERVICES

a. Permitted Use

Parse grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. You may use the Services to monitor your brand's visibility across AI language models, track competitive performance, and analyze LLM-generated responses.

b. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Services, other users' accounts, or our systems.
  • Interfere with, disrupt, or create an undue burden on the Services or the networks connected to the Services.
  • Use any automated means (including bots, scrapers, or crawlers) to access the Services except through APIs we explicitly provide.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
  • Resell, sublicense, or redistribute access to the Services without our prior written consent.
  • Use the Services to generate false, misleading, or defamatory content.
  • Circumvent any rate limits, usage restrictions, or security measures of the Services.

4. SUBSCRIPTIONS AND PAYMENT

a. Free Tier

Parse may offer a free tier with limited features. Free tier availability and feature limits are subject to change at our discretion.

b. Paid Subscriptions

When paid tiers are available, subscription fees will be billed in advance on a recurring basis (monthly or annually, as selected). All fees are non-refundable except as required by law or as expressly stated in these Terms.

c. Price Changes

We reserve the right to modify our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following notice of the change.

d. Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until that time.

5. INTELLECTUAL PROPERTY

a. Our Intellectual Property

The Services, including all content, features, functionality, software, and design (excluding user-provided content), are owned by Parse and are protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited license described in Section 3.

b. Your Content

You retain ownership of any content you provide to the Services, including brand names, tracked prompts, and campaign information. By providing content, you grant Parse a worldwide, royalty-free license to use, process, and display that content as necessary to provide the Services.

c. Feedback

If you provide suggestions, ideas, or feedback about the Services, we may use them without restriction or obligation to you.

6. DATA AND PRIVACY

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.

7. THIRD-PARTY SERVICES

The Services interact with third-party LLM providers (such as OpenAI, Anthropic, Google, and xAI) to query their models and collect responses. We are not responsible for the content generated by these third-party models. The availability and accuracy of LLM responses are subject to the respective providers' terms and service levels.

8. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. Parse data, scores, and rankings are provided for informational purposes and should not be relied upon as the sole basis for business decisions.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARSE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Parse and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

11. TERMINATION

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

13. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of these Terms and, where appropriate, providing additional notice (such as a notification in your account or via email). Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

14. MISCELLANEOUS

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Parse regarding the Services.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.
